Terms and conditions

Version 2.0, valid for orders placed from 1 November 2026.

About these terms

These terms apply when you buy from the Sensepeek web shop at sensepeek.com. Please read them before you place an order. You can save or print this page. Your order confirmation email links to these terms and to our pages on the right of withdrawal, on returns and complaints, and on personal data.

The terms have three parts:

  • Part A applies to everyone.
  • Part B applies only to consumers.
  • Part C applies only to business customers.

Where a rule in Part B or Part C differs from Part A, the rule in Part B or Part C applies to that group.

Part A: For everyone

1. Who we are

The seller is Sensepeek AB (“Sensepeek”, “we”, “us”), a Swedish limited company.

  • Organisation number: 559007-1295 (registered with Bolagsverket, the Swedish Companies Registration Office)
  • VAT number: SE559007129501
  • Address: Verkstadsgatan 2, 235 32 Vellinge, Sweden
  • Customer service and complaints: sales@sensepeek.com
  • Phone: +46 40 682 06 86, Monday to Friday 9-16 CET, except Swedish public holidays

Email is the fastest way to reach the right person. We usually reply within one business day.

“You” means the person or company that places the order.

Part A: For everyone

2. Scope, consumers and business customers

2.1 These terms apply to all orders placed in our web shop. They also apply to orders you place with us by email, for example against a quote or with a purchase order, unless we agree otherwise in writing. Terms in your purchase order or in other documents of yours do not apply unless we accept them in writing.

2.2 A consumer is a private individual who buys mainly for purposes outside their trade, business or profession.

2.3 A business customer is a company, organisation, public body or individual who buys in the course of a trade, business or profession.

2.4 The checkout does not ask whether you buy privately or for a business. We treat an order as a business purchase when the billing address includes a company name. A VAT number is also a sign of a business purchase (the checkout accepts a VAT number only together with a company name).

2.5 If you are a consumer, you keep all your rights as a consumer, even if you entered a company name, for example to have the parcel delivered at your workplace. Please tell us, so that we can handle the order as a consumer purchase.

2.6 Orders placed in our previous web shop follow the terms that applied when you ordered. To withdraw from such an order or to complain about it, email us at sales@sensepeek.com, and we can send you a copy of those terms.

2.7 The contract is concluded in English. These terms, and the other texts in our web shop, are available in English only.

Part A: For everyone

3. How to order

3.1 The steps are:

  1. Add products to the cart. Each product page shows the price and the delivery time.
  2. Go to the checkout. Enter your email address, the delivery address and a phone number (the carrier needs it to deliver). A business customer also enters the company name, and can enter a VAT number and an order reference, such as a purchase order number.
  3. Choose a delivery method and a payment method.
  4. Check the order summary: products, quantities, prices, delivery method and cost, VAT and the total, in the currency you chose.
  5. Tick the box to accept these terms.
  6. Click the order button: “Place order and pay” if you pay through Nexi, or “Place order and pay by invoice” if you pay by Invoice. If you pay through Nexi, you then confirm the payment on Nexi’s payment page, and the order is placed when the payment is authorised. If you pay by Invoice, the order is placed when you click the button.

3.2 Correcting errors. Until you click the order button, you can change everything. Go back to the cart to change products or quantities, and correct your details in the checkout fields. On Nexi’s payment page you can go back to the checkout. If you notice an error after ordering, contact us as soon as possible. We can usually correct an order until it ships.

3.3 Order confirmation. We confirm your order by email right away. The order confirmation is your confirmation of the contract. It contains the order details, short notes on the right of withdrawal and on our warranty, and links to these terms, the Right of withdrawal page (with the standard withdrawal form), the Returns and complaints page and our Privacy policy. If it does not arrive, check your spam folder and then contact us.

3.4 Storage of the contract. The web shop has no customer accounts, so you cannot see your orders on the website. We keep your order in our systems as described in our Privacy policy. Keep the order confirmation email: it is your copy of the contract. We send you a copy of your order on request.

Part A: For everyone

4. When the contract is binding

4.1 Your order is an offer to buy. The contract is binding when we send you the order confirmation email.

4.2 We may cancel an order, in full or in part, after the order confirmation if:

  • a price or product description is obviously wrong, for example because of a typing or technical error, and you should have understood this;
  • the payment is not authorised, or we have reasonable grounds to suspect fraud;
  • the delivery would break export control or sanctions rules (section 9); or
  • a product can no longer be delivered, and we cannot deliver it within the stated delivery time or another time you accept.

4.3 If we cancel, we tell you without delay. We release the payment reservation or refund what you have paid, by the same payment method. If you are a consumer, section 4.2 does not limit your rights when we fail to deliver (section 16).

Part A: For everyone

5. Prices, currencies and VAT

5.1 Price display. Product prices are shown in euro (EUR) and excluding VAT by default. In the header of the website you can choose another currency and switch to prices including VAT. The checkout always shows the VAT and the total price, including VAT and shipping, before you place the order.

5.2 Currency. You can choose euro (EUR), Swedish krona (SEK) or US dollar (USD) in the header. EUR is our base currency. Prices in SEK and USD are converted from EUR at exchange rates from an exchange-rate service, updated twice a day, and rounded. You pay the amount shown in the checkout, in the currency shown there. Later changes in exchange rates do not change the price of your order. Your card issuer or payment provider may charge its own fees for a payment in a foreign currency.

5.3 VAT. The VAT depends on where the products are delivered and whether you give a valid VAT number of the delivery country:

Buyer Delivery to VAT
Consumer, or business customer without a valid VAT number of the delivery country Sweden Swedish VAT, 25 %
Consumer, or business customer without a valid VAT number of the delivery country Another EU country The standard VAT rate of the delivery country. We report it to the Swedish Tax Agency under the EU One Stop Shop (OSS).
Business customer with a valid VAT number of the delivery country An EU country other than Sweden No VAT. Reverse charge: you account for the VAT (section 24).
Business customer with a valid Swedish VAT number Sweden Swedish VAT, 25 %
Anyone Outside the EU No VAT (export). Import charges may apply in the destination country (section 6.3).

5.4 Special areas. The Canary Islands, Ceuta, Melilla, the Åland Islands and the French overseas departments (Guadeloupe, French Guiana, Martinique, Mayotte and Réunion) are outside the EU VAT area and are treated as deliveries outside the EU. Monaco is treated as France. The Azores and Madeira have their own, lower rates. Deliveries to Northern Ireland carry UK VAT (20 %) and no import charges. A business customer in Northern Ireland with a valid XI VAT number buys without VAT, as a business customer in another EU country does (reverse charge, section 24).

5.5 Price reductions. When we reduce a price, we also show the lowest price that applied during the 30 days before the reduction.

Part A: For everyone

6. Shipping costs and other costs

6.1 The shipping cost depends on the delivery country and the delivery method. Shipping prices are set excluding VAT. Where VAT applies to your order, it is added to the shipping cost too, and the shipping cost is shown including VAT when you choose prices including VAT. The checkout shows the exact shipping cost and the VAT on it as soon as you have entered the delivery country, before you place the order. See Shipping and delivery.

6.2 We charge no fee for the payment methods in Nexi Checkout and no invoice fee. We never charge you costs that were not shown to you before you placed the order.

6.3 Deliveries outside the EU. Our prices for deliveries outside the EU include no VAT. Import VAT, customs duties and customs clearance fees may be charged in the destination country. They are paid by the recipient, usually to the carrier on delivery. They are not part of our price and are not paid to us. For deliveries to Great Britain, Norway, Switzerland, Australia and New Zealand, the recipient pays the import VAT, any customs duty and the carrier’s fee.

6.4 Minimum order for Great Britain. We have no minimum order value, except for delivery to Great Britain (England, Scotland and Wales). There, the products in the order must together cost at least EUR 165, after any discount and excluding shipping and VAT. In SEK or USD, the same amount applies at the day’s exchange rate. This applies to every order, from consumers and business customers alike. The checkout does not accept a smaller order. The reason: we are not registered for VAT in the United Kingdom, so we ship to Great Britain only orders with goods worth more than GBP 135, on which the recipient pays the import VAT, any customs duty and the carrier’s fee on delivery. Orders to Great Britain are shipped complete, in one shipment. This section does not apply to Northern Ireland.

Part A: For everyone

7. Payment

7.1 Payment methods.

  • Nexi Checkout, for everyone: Visa and Mastercard cards, PayPal, Apple Pay and Google Pay.
  • Invoice, only for business customers with a company name, a valid EU VAT number and a billing address in the EU, Sweden included. See section 23.

7.2 Payments through Nexi. The payment is handled by Nets Denmark A/S, part of the Nexi Group, on Nexi’s payment page. We never receive or store your full card details. Your card issuer may ask you to confirm the payment (for example with 3-D Secure).

7.3 Reservation and charge. When you place the order, the amount is reserved (authorised) on your card or account. We charge it when the order ships. If the order is cancelled before it ships, we release the reservation. How soon the amount is available to you again depends on your bank. If an order ships in parts (section 8.3), we may charge the whole order when its first part ships. We notify you by email of every shipment.

7.4 Back orders and long delivery times. We handle orders with products on back order individually and contact you if the delivery will be later than stated. The amount stays reserved until we ship. A reservation normally lasts about 30 days. When the 30 days draw near, or when we ship part of the order (7.3), we may charge the whole amount. If the order is then cancelled, we refund what you paid.

7.5 Refunds are made by the payment method you used (sections 15, 17 and 22).

Part A: For everyone

8. Delivery

8.1 Where we deliver. We deliver to the countries that can be chosen in the checkout. We do not deliver to China, Hong Kong, Macao, Russia, Belarus, Ukraine, Armenia, Azerbaijan, Kazakhstan, Kyrgyzstan, Tajikistan, Turkmenistan or Uzbekistan. The list of countries, delivery methods and prices is on the Shipping and delivery page. Some delivery methods are only for business customers. For Great Britain, see section 6.4.

8.2 Delivery time. Each product page states the delivery time, for example “Delivery: 1-2 business days”, or “Delivery: expected 2026-10-15” when a product is delayed. The order confirmation repeats it for each product. The delivery time on the product page, or in your order confirmation once you have ordered, is the one that applies to your order. We ship on business days (Monday to Friday, except Swedish public holidays). Products in stock normally leave our warehouse within 1-2 business days. The time in transit depends on the country and the delivery method (see Shipping and delivery).

8.3 Complete orders and partial shipments. We ship each order complete when we can. If we cannot ship the whole order at once, for any reason, we may ship the products we can and send the rest later, at our cost. We are not obliged to split an order. Orders to Great Britain are always shipped complete.

8.4 Tracking. When your order ships, we send you a shipping confirmation by email with the tracking number. If the tracking shows no progress for 5 business days, or the parcel has not arrived, contact the carrier first, which is usually quickest, and us if that does not help. Please contact us within 30 days of the shipping confirmation, so that we can open a claim with the carrier. For consumers this does not limit the rights in section 16; for business customers, see section 26.1.

8.5 Unclaimed or refused parcels. If you do not collect a parcel, or refuse it, and it comes back to us, we contact you. We can send it again once you have paid the new shipping cost, or cancel the order and refund what you paid, including the original shipping cost, less the actual cost the carrier charges us for the return. We charge no other fee. This does not affect a consumer’s right of withdrawal (section 15).

8.6 Who bears the risk during transport: section 16 for consumers, section 25 for business customers.

Part A: For everyone

9. Export control and sanctions

9.1 We comply with the export control and sanctions rules of the EU, the UN and Sweden. We may hold an order to check it against these rules, and we may cancel it if the delivery would break them.

9.2 No re-export to Russia or Belarus. You must not sell, export or re-export any product supplied under these terms, directly or indirectly, to Russia or Belarus, or for use in Russia or Belarus. This is an essential term of the contract. It is required by Article 12g of Council Regulation (EU) No 833/2014 and Article 8g of Council Regulation (EC) No 765/2006.

9.3 You must not buy our products for, or on behalf of, a person or organisation that is subject to EU or UN sanctions.

9.4 If you break section 9.2 or 9.3, we may cancel the contract and any open orders, and refuse further orders from you. We may also claim compensation for our loss under the law.

9.5 Business customers have further obligations in section 30.

Part A: For everyone

10. Force majeure

10.1 We are not liable for a delay or failure to perform that is caused by an event beyond our reasonable control, which we could not reasonably have foreseen or avoided. Examples are war, new sanctions, fire, flood, strikes, epidemics, general interruptions in transport and decisions of public authorities.

10.2 We tell you as soon as possible. If the event lasts more than 30 days, either of us may cancel the affected part of the order, and we refund what you have paid for it.

10.3 If you are a consumer, this section does not limit your right to cancel the purchase and get a refund when we cannot deliver.

Part A: For everyone

11. Personal data

We process your personal data to handle your order, deliver it, invoice it, give customer service and keep our accounts. How we do this, and your rights, are described in our Privacy policy. Accepting these terms does not mean that you consent to anything else. We send you our newsletter only if you tick the newsletter box in the checkout, and you can unsubscribe at any time. How we use cookies is described in our Cookie policy; you can change your cookie choices at any time with “Cookie settings” in the Legal section at the bottom of every page.

Part A: For everyone

12. Changes to these terms

12.1 We may change these terms. The version in force when you place your order applies to that order.

12.2 Each version has a number and the date from which it applies. Earlier versions are available from us on request.

Part B: For consumers

13. Your rights as a consumer

Nothing in these terms limits the rights you have as a consumer under mandatory law, in Sweden or in the country where you live.

Part B: For consumers

14. Summary of your rights

  • As a consumer, you can withdraw from the purchase within 14 days of receiving the products, without giving a reason (section 15). You pay the direct cost of returning the products, and we refund the price and the delivery cost you paid.
  • You can complain about a defect for three years after you received the product (section 17). A justified complaint costs you nothing.
  • Our 12-month warranty (section 18) is given in addition to these rights and does not limit them.
  • Sensepeek takes part in proceedings before ARN, the Swedish National Board for Consumer Disputes, and follows its recommendations (section 19).
Part B: For consumers

15. Right of withdrawal

15.1 Your right. As a consumer you have the right to withdraw from the purchase within 14 days, without giving any reason.

15.2 The period ends 14 days after the day on which you, or a person you have named (other than the carrier), receive the products. If your order is delivered in more than one parcel, the period ends 14 days after you receive the last parcel. You can also withdraw before the products arrive.

15.3 How to withdraw. Use one of these:

  • Online: our withdrawal function at sensepeek.com/support/cancel-purchase/. It is linked as “Cancel purchase” in the footer of every page and in your order emails, and the page is headed “Right of withdrawal (cancel purchase)”. Enter your order number and your billing email address. We email you a link. Open it within 48 hours, choose the products and confirm your withdrawal. We then send you a receipt by email that states the products and the date and time we received your withdrawal. The function accepts requests for 60 days from the date of the order. We accept a withdrawal made within the withdrawal period (15.2), and check each request against the delivery date. If the 60 days have passed, for example after a long back order, withdraw by email or letter instead.
  • By email or letter: send us the standard withdrawal form, or any other clear statement that you withdraw, by email to sales@sensepeek.com or by post to Sensepeek AB, Verkstadsgatan 2, 235 32 Vellinge, Sweden. The form is on the Right of withdrawal page, which your order confirmation links to. Using it is optional.

15.4 In time. Your withdrawal is in time if you send it before the withdrawal period ends. When you use the online function, it is in time if you started the request before the period ended and confirm it through the emailed link while the link is valid (48 hours), even if you confirm it after the period has ended.

15.5 What happens next. We handle every withdrawal individually. A withdrawal sent within the withdrawal period takes effect when you send it; it does not need our approval. We reply by email with a case number and the address to which you return the products. If you sent your withdrawal after the period had ended, we tell you so.

15.6 Returning the products. Send the products back without undue delay, and at the latest 14 days after the day you told us that you withdraw, to the return address we give you. The deadline is met if you send them before the 14 days have passed. You pay the direct cost of returning the products. You can send them with a carrier of your choice, at your own cost. Or you can ask us for a return label: we then deduct from the refund the actual cost the carrier charges us for that label, for a return from your country. We recommend a tracked service, and that you keep the proof of sending. If you return products from outside the EU, declare the parcel as returned goods. If it is not declared correctly, you also pay the import VAT, duties and other charges we are charged for it.

15.7 Refund. We refund all payments we have received from you, including the full delivery cost you paid, whichever delivery method you chose (for a partial withdrawal, see section 15.8), without undue delay and at the latest 14 days after the day we received your withdrawal. We may wait with the refund until we have received the products back, or until you have shown that you have sent them, whichever comes first. We refund by the payment method you used, unless you have expressly agreed to something else, and you pay no fees for the refund. We deduct only the cost of a return label from us (section 15.6) and any loss of value (section 15.9). If your payment has not been charged yet because the order has not shipped, we release the reservation instead.

15.8 Withdrawing from part of an order. You can withdraw from some of the products in an order. We then refund the price of those products. We refund the delivery cost if you withdraw from the whole order.

15.9 Condition of the products. You may handle the products as you could in a shop: unpack them, look at them and try their functions. You are liable for any loss of value that results from handling them more than is necessary to establish their nature, characteristics and functioning, and we may reduce the refund by that amount. Examples are signs of use in real work, solder residue, scratches, damage, and missing parts or accessories. Returning the products in their original packaging helps us avoid a reduction.

15.10 Import charges. For deliveries outside the EU, import duties and import VAT are paid to the authorities or the carrier, not to us, so we cannot refund them. You may be able to reclaim them from the customs authority or the carrier.

15.11 The Right of withdrawal page has the standard information and the standard withdrawal form.

Part B: For consumers

16. Delivery, risk and delay

16.1 We deliver within the delivery time stated for the product. If no time is stated, we deliver without undue delay and at the latest 30 days after the order.

16.2 The risk for the products passes to you when you, or a person you have named, receive them. Until then, loss of or damage to the products is our responsibility.

16.3 If we tell you that a delivery will be late, we tell you why and when we expect to deliver.

16.4 If the delivery is late, and this is not caused by you, you may:

  • withhold payment (a card payment is not charged before the order ships anyway);
  • ask us to deliver;
  • cancel the purchase, if we do not deliver within a reasonable additional time that you give us, or at once if we refuse to deliver or if you told us before the purchase that the delivery date was essential; and
  • claim compensation for the loss the delay causes you.
Part B: For consumers

17. Complaints about defects

17.1 Your right. If a product is defective, you have the right to complain under the law, free of charge. We are responsible for defects that existed when you received the product and that show within three years of delivery. A defect that shows within two years of delivery is presumed to have existed at delivery, unless this is incompatible with the nature of the product or the defect.

17.2 When to complain. Tell us within a reasonable time after you noticed the defect. A complaint made within two months of noticing it is always in time. You cannot complain later than three years after you received the product.

17.3 How to complain. Email sales@sensepeek.com with your order number, a description of the defect and, if possible, photos or a video. You can also write to us at Sensepeek AB, Verkstadsgatan 2, 235 32 Vellinge, Sweden. Please contact us before you send anything back: we give you a case number and the return address, and send you a free return label.

17.4 What we pay. For a defect we are responsible for, we pay the cost of returning the product to us, of the repair or replacement, and of sending the product back to you. If we find no defect that we are responsible for, we explain why in writing (section 17.7). We charge you for examining the product, or for sending it back to you, only where the law allows it and we have told you the cost before you send us the product.

17.5 Remedies. You can choose between repair and replacement, unless the one you choose is impossible or would cost us disproportionately more than the other. You can instead get a price reduction, or cancel the purchase and get a refund, if:

  • repair or replacement is impossible, or we refuse it;
  • we do not repair or replace the product within a reasonable time or without significant inconvenience to you;
  • the defect remains after the repair or replacement; or
  • the defect is so serious that you should not have to accept repair or replacement.

You cannot cancel the purchase if the defect is minor. You may also claim compensation for a loss the defect causes you, as the law provides (not for a loss in a business, and not if the defect is caused by an obstacle beyond our control), and withhold payment for the defective product.

17.6 Refund. A refund is made without undue delay by the payment method you used, without fees.

17.7 If we reject your complaint, we explain why in writing and tell you that you can turn to ARN (section 19).

17.8 Spare parts and repairs. We sell some spare parts in the shop. We do not offer repairs outside the law and the warranty, but contact us and we tell you whether a spare part can help.

Part B: For consumers

18. Our 12-month warranty (consumers and business customers)

18.1 Guarantor. Sensepeek AB, Verkstadsgatan 2, 235 32 Vellinge, Sweden, sales@sensepeek.com, +46 40 682 06 86.

18.2 What it covers. Sensepeek products bought in our web shop are covered against defects in materials and workmanship that appear within 12 months of the day you receive them. The warranty is the same for consumers and business customers, except for the shipping to us (section 18.4).

18.3 What it does not cover.

  • wear parts, such as probe tip needles, ground springs and ground spring needles, probe tip protection caps, test wires and cables, insulation washers, bottom protection caps and the insulation covers of the base plates;
  • normal wear and tear;
  • damage caused by accidents, misuse, or use outside the product’s specifications or instructions, for example above its voltage or current limits;
  • products that have been modified or repaired by someone other than us; and
  • cosmetic changes that do not affect the function.

18.4 What we do. We repair or replace the product, or the defective part, free of charge. If neither is possible, we refund the price you paid for the product. We pay the shipping of the repaired or replacement product to you. For consumers we also pay the shipping to us; business customers pay the shipping to us (section 26.4).

18.5 How to claim. Email sales@sensepeek.com with your order number, a description of the defect and, if possible, photos. We reply with a case number and instructions, and send consumers a return label.

18.6 Where it applies. The warranty applies in all countries we deliver to.

18.7 Your rights under the law. This warranty is a commercial guarantee given in addition to your rights under the law. It does not replace, limit or otherwise affect the rights you have as a consumer under the law of Sweden or of the country where you live, in particular your right to complain about defects (section 17). You can use those rights free of charge, whether or not you also claim under this warranty, and whether or not the warranty applies.

Part B: For consumers

19. Disputes

19.1 If you are not satisfied, please contact us first at sales@sensepeek.com. Most problems are solved quickly that way.

19.2 ARN. Sensepeek takes part in proceedings before Allmänna reklamationsnämnden (ARN), the Swedish National Board for Consumer Disputes, and follows its recommendations. If we cannot agree, you can file a complaint with ARN, Box 174, 101 23 Stockholm, Sweden, www.arn.se. You must file it within one year of first complaining to us. ARN’s rules, such as minimum amounts and fees, are on arn.se. We agree to ARN handling a complaint in English.

19.3 European Consumer Centres. If you live in another EU country, Iceland or Norway, the European Consumer Centre in your country gives free advice on cross-border purchases: www.eccnet.eu/contact-your-local-ecc. In Sweden this is Konsument Europa, konsumenteuropa.se.

19.4 United Kingdom. If you live in the United Kingdom, you can get free advice from the UK International Consumer Centre, www.ukicc.info.

Part B: For consumers

20. Governing law and courts

20.1 Swedish law applies to the purchase. If you live outside Sweden, you also keep the protection of the mandatory consumer rules of the country where you live.

20.2 If you live in the EU, you can take a dispute to court in Sweden or in the country where you live, and we can take you to court only in the country where you live. If you live outside the EU, the courts of your country may also be competent under its rules.

Part C: For business customers

21. Scope

21.1 This part applies to business customers in addition to Part A. Part B does not apply to business customers, except the warranty in section 18 (section 27).

21.2 Where these terms do not say otherwise, the Swedish Sale of Goods Act (köplagen) applies (section 31).

Part C: For business customers

22. No right of withdrawal; cancellations and returns

22.1 Business customers have no statutory right of withdrawal. The rules in this section are our own terms for business customers.

22.2 The withdrawal function (“Cancel purchase”) is meant for consumers. We treat a request from a business customer made through it as a request to cancel or return, which we may accept or decline.

22.3 Cancellation before shipment. Until an order ships, you can ask us to cancel it. If we can, we cancel it and release the payment reservation, or do not invoice it.

22.4 Returns only by agreement. You can return products that are not defective only if we have agreed to it in advance by email. We then give you a case number and the return address.

22.5 Costs. You pay all costs of the return, including shipping and any customs charges, duties and carrier fees. These costs are not limited to a set amount. If we provide a return label, we deduct its actual cost from the refund.

22.6 Refund. We refund the price of the returned products and, if you return the whole order, the original shipping cost. We refund within 14 days after the products have arrived and we have checked their condition, by the payment method you used or, for Invoice, by a credit note. If the products are used, damaged or incomplete, we may reduce the refund by the loss of value.

Part C: For business customers

23. Invoice

23.1 Who can pay by invoice. Business customers with a company name, a valid EU VAT number and a billing address in the EU, Sweden included. We check the VAT number in the EU’s VIES system. While VIES cannot confirm the number, Invoice cannot be chosen.

23.2 The invoice. We issue the invoice when the order ships and email it as a PDF to the billing email address. It is issued in the currency of the order. The order reference you entered in the checkout is shown on the invoice.

23.3 Payment terms. 14 days net from the invoice date. There is no invoice fee. Pay to the bank account stated on the invoice, and quote the invoice number.

23.4 Late payment. If you pay late, we charge:

  • interest on late payment under the Swedish Interest Act (räntelagen) from the due date, at the Swedish Riksbank’s reference rate plus eight percentage points;
  • a delay fee (förseningsersättning) of SEK 450 under the Swedish Act on Compensation for Debt Collection Costs, also on invoices in EUR or USD; and
  • reasonable costs of debt collection.

We may hold further deliveries until overdue invoices are paid.

23.5 Credit check and right to refuse invoice payment. We may run a credit check on your company. We may decline payment by invoice or ask for payment in advance, for example for a large first order or when earlier invoices are overdue. If we do this after you have placed the order, we tell you before we ship, and you can pay through Nexi or cancel the order.

Part C: For business customers

24. VAT number and reverse charge

24.1 By entering a VAT number, you confirm that it belongs to the company that buys, that the company buys in the course of its business, and that you are authorised to order for it.

24.2 Only a VAT number that VIES confirms, issued by the country the products are delivered to, gives reverse charge. A VAT number of another country does not: we then charge VAT as for a buyer without a VAT number, that is, the VAT of the delivery country for deliveries within the EU (section 5.3). A Swedish VAT number gives Swedish VAT (25 %) on deliveries in Sweden.

24.3 Under reverse charge, you account for the VAT in your country. Our invoice states: “VAT reverse charge. Intra-Community supply of goods, exempt from VAT under Article 138 of Council Directive 2006/112/EC.”

24.4 If the VAT number turns out to be invalid, or the conditions for reverse charge were not met, we may invoice the VAT afterwards, and you must pay it. On request, you must confirm in writing that you received the products.

Part C: For business customers

25. Delivery, risk and Incoterms

25.1 We deliver DAP (Delivered at Place, Incoterms® 2020) at the delivery address or service point in the order, both inside and outside the EU. The risk passes to you when the products are made available to you there.

25.2 Deliveries outside the EU. The recipient is the importer. You pay import duties, import VAT, customs clearance fees and any other charges in the destination country. You make sure that the products may be imported and used there. We make the export declaration and provide the commercial invoice, based on the details in your order.

25.3 Delay. Delivery times are estimates. If a delay is material to you, you may cancel the delayed products, and we refund what you have paid for them. Other claims for delay are limited as described in section 28.

Part C: For business customers

26. Inspection and complaints

26.1 Inspect the products as soon as possible after delivery. Report visible transport damage and missing items to us within 7 days of delivery, and if possible note the damage on the carrier’s delivery receipt. Report a parcel that has not arrived within 30 days of the shipping confirmation.

26.2 Report other defects within a reasonable time after you noticed them or should have noticed them, and at the latest 12 months after delivery. If you report later, you lose the right to rely on the defect.

26.3 For a defect we are responsible for, we choose to repair or replace the product, or to credit or refund its price. This is our full liability for defects, subject to section 28.3.

26.4 Costs. You pay the shipping of the product to us. For an accepted claim, we pay the repair or replacement and the delivery of the repaired or replacement product to you. If the product is not defective, or the defect is caused by you, we may also charge you the shipping back to you and our reasonable costs of examining the product.

Part C: For business customers

27. Warranty for business customers

The warranty in section 18 applies to business customers on the same terms, except that you pay the shipping to us (section 26.4). For business customers, it is also the remedy for defects described in section 26.

Part C: For business customers

28. Limitation of liability

28.1 We are not liable for indirect or consequential loss, such as lost profit, lost production or revenue, loss of data, costs of downtime, damage to other equipment, or claims from third parties.

28.2 Our total liability for an order is limited to the price, excluding VAT, that you paid for the products the claim concerns.

28.3 These limits do not apply to loss caused by our intent or gross negligence, to personal injury, or where mandatory law does not allow a limitation, for example under the Swedish Product Liability Act (produktansvarslagen).

Part C: For business customers

29. Retention of title

The products remain our property until they have been paid for in full, to the extent the law of the country where they are allows this. Until then, you may not pledge them or transfer them as security.

Part C: For business customers

30. Export control and sanctions

30.1 You are responsible for complying with the export control and sanctions rules that apply when you sell, export or pass on our products.

30.2 No re-export to Russia or Belarus. You must not sell, export or re-export, directly or indirectly, to Russia or Belarus, or for use in Russia or Belarus, any product supplied under or in connection with these terms. This is an essential term of the contract, required by Article 12g of Council Regulation (EU) No 833/2014 and Article 8g of Council Regulation (EC) No 765/2006.

30.3 The commercial chain. You must use your best efforts to make sure that third parties further down the commercial chain, including resellers, do not frustrate the purpose of section 30.2. If you sell the products on, you must include the same obligation in your contract with the buyer.

30.4 Monitoring. You must set up and maintain an adequate monitoring mechanism to detect conduct by third parties further down the commercial chain, including resellers, that would frustrate the purpose of section 30.2.

30.5 Information. You must tell us at once about any problem in applying sections 30.2 to 30.4, including any activity of third parties that could frustrate their purpose. Within two weeks of our request, you must give us information about how you comply with sections 30.2 to 30.4.

30.6 Breach. A breach of sections 30.2 to 30.5 is a material breach of an essential term of the contract. We may then terminate the contract, cancel open orders and stop deliveries. You must also pay us a contractual penalty equal to the price of the products concerned, and compensate us for any further loss the breach causes us. Section 28 does not limit this liability. We must report a breach to the Swedish customs authority (Tullverket).

30.7 End use. You confirm that the products are not intended for a use that is prohibited under EU or UN sanctions or EU export control rules. We may ask you for information about the end use and end user, for example an end-use statement, and hold the order until we have it.

Part C: For business customers

31. Governing law and disputes

31.1 Swedish law applies, without its conflict of law rules. The UN Convention on Contracts for the International Sale of Goods (CISG) does not apply.

31.2 Disputes are decided by the Swedish courts, with Malmö District Court (Malmö tingsrätt) as the court of first instance. We may also bring a claim for payment in the courts where you have your registered office.
